Introduction 

Prolinks includes:

  • Website: https://www.prolinks.id and all other domains or subdomains operated by Prolinks.
  • Application: The software provided by Prolinks to offer services related to the Website.
  • Prolinks Platform: Solutions and services related to secure storage, exchange, and collaboration on business information.

The Prolinks Platform is provided by Prolinks, a subsidiary of Sinergi Asia Konsultan (“Synergy Asia”), to any authorized individual (“you”) permitted to use the Platform by a legal entity that has entered into an agreement with Prolinks. Your use of the Prolinks Platform is subject to these Terms of Use, the Privacy Policy, Cookie Policy, and any other applicable policies.

Warranty Disclaimers

To the maximum extent permitted by law, Prolinks is provided “as is” and “as available” without any warranties, whether express, implied, or statutory. Prolinks expressly disclaims all implied warranties, including but not limited to those of merchantability and fitness for a particular purpose. You acknowledge that the Prolinks Platform may contain technical inaccuracies or typographical errors.

Terms Acceptance

By continuing to use Prolinks, you acknowledge and agree to these Terms of Use ("Terms"). If you do not accept these Terms, please discontinue using Prolinks.

Prohibited Activities

You agree to use Prolinks solely for the purposes outlined in these Terms. You are prohibited from:

  • ​Using Prolinks for any unlawful activities or in violation of these Terms

  • Attempting to access Prolinks through methods not provided by Prolinks

  • Using another user’s account, password, or system without permission

  • Accessing content that you do not have authorization to view

  • Engaging in activities that disrupt or interfere with Prolinks or its associated servers and networks

  • Uploading, posting, or transmitting harmful, disruptive, or destructive files

  • Exploiting vulnerabilities or flaws in Prolinks’ security

Any attempt to damage Prolinks’ servers or undermine the legitimate operation of the Platform is a violation of both criminal and civil laws. Prolinks reserves the right to seek damages to the fullest extent allowed by law.

Password and Account Security

  • Personal Account Creation: To access and use Prolinks, you need to create a personal account ("Personal Account").

  • Accurate Information: You agree to provide accurate, current, and complete information during registration and to update this information promptly.

  • Confidentiality: You are responsible for maintaining the confidentiality of your username and password associated with your Personal Account.

  • Accountability: You are accountable for all activities conducted under your Personal Account, whether authorized by you or not.

  • Permission Required: You may not use another individual’s Personal Account at any time without the explicit permission of the account holder.

  • Right to Suspend or Terminate: If Prolinks suspects that the information you provided is untrue, inaccurate, outdated, or incomplete, Prolinks reserves the right to suspend or terminate your access to the Prolinks Platform.

  • Liability Disclaimer: Prolinks is not liable for any damages or losses arising from the theft, misuse, or disclosure of your username or password, or your authorization of another person to use your Personal Account.

  • User Responsibility: You may be held liable for losses incurred by Prolinks or third parties resulting from unauthorized use of your Personal Account.

  • Notification of Unauthorized Use: If you become aware of any unauthorized use of your password or Personal Account, please notify Prolinks immediately at security@prolinks.id

  • No Warranties: Prolinks makes no warranties regarding the accessibility, performance, or availability of Prolinks.
  • Temporary Suspension: Access to the Website or Application may be temporarily suspended without prior notice for repair, maintenance, system failure, or circumstances beyond our control. Prolinks reserves the right to suspend the operation of Prolinks at its discretion.
  • No Liability: Prolinks shall not be held liable if the Prolinks Platform is unavailable at any time or for any duration. Neither Prolinks nor its third-party providers will be liable for any termination, suspension, interruption, or delay of the Prolinks Platform.

  

Jurisdiction and Sanctions

By accessing or using Prolinks or any related components, you represent and warrant that:

  • You are not located in, or owned or controlled by a person, entity, or organization in, any jurisdiction where the provision of Prolinks or related components is prohibited under applicable laws or regulations, including jurisdictions subject to comprehensive trade sanctions (e.g., Russia, Cuba, Iran, North Korea, Syria, regions of Ukraine under Russian occupation).

  • You are not the subject of any sanctions imposed by any governmental authority or international organization (e.g., United Nations, United States, European Union).

Sanctions-Related Activities

  • You are not engaged in any activities that could reasonably result in a sanctions designation or subject you to enforcement actions by relevant sanctions authorities.

  • You do not employ, engage, or subcontract individuals, workers, or labor from countries or territories currently subject to sanctions in connection with your use of Prolinks.

Termination and Suspension Rights

Prolinks reserves the right, at its sole discretion, to immediately terminate or suspend your access to Prolinks without prior notice if it discovers or reasonably suspects that you:

  • Are located in, or owned or controlled by a person, entity, or organization in a jurisdiction subject to comprehensive trade sanctions.

  • Are the subject of sanctions or engaged in activities that may trigger a sanctions designation.

You agree to promptly notify Prolinks of any changes to the representations and warranties provided in this section and acknowledge that failure to comply may result in the suspension or termination of your access to Prolinks or other legal actions.

Security Measures

  • Commitment to Security: Prolinks is committed to ensuring Prolinks operates securely and efficiently without vulnerabilities.

  • Acknowledgment of Limitations: No system of data storage and retrieval is entirely impenetrable. You acknowledge that unauthorized third parties may access, view, copy, modify, or distribute data stored in your Personal Account.

  • Liability Disclaimer: Prolinks will address and patch any vulnerabilities within a reasonable time but will not be liable for any discovered vulnerabilities.

  • Reporting Vulnerabilities: If you discover any vulnerability or defect, you agree to promptly report it to security@prolinks.id and keep such information confidential.

  • User Content: Prolinks does not review or monitor user content for harmful features but reserves the right to refuse, remove, or disable access to content that may be illegal or violate these Terms of Use.

  • User Responsibility: You are responsible for protecting information on your devices. This includes installing antivirus software, keeping applications updated, password-protecting files, and restricting unauthorized access.

Our Privacy Policy explains how Prolinks collects, stores, uses, manages, and discloses personal information. We prioritize protecting your privacy and ensuring your personal data is managed securely and responsibly.

Our Cookie Policy details how Prolinks uses cookies and similar technologies to analyze trends, enhance user experience, and track user activity on our platform. By using our services, you agree to the use of cookies as described in this policy.

User-Generated Content

  • Definition: All materials, documents, communications, or information you submit to, send through, or store on the Prolinks platform ("User Content") are subject to Prolinks' Privacy Policy and these Terms of Use.

  • Legal Right: You represent and warrant that you have the legal right, ownership, or proper license to use and upload any User Content. Such content must not infringe on the intellectual property rights of any third party, including copyrights, trademarks, and patents.

  • Usage: Your User Content may be used in any manner authorized by you, the Corporate Account Owner, Corporate Account Manager, or Corporate Account Project Coordinator, as per these Terms of Use and applicable laws. You are solely responsible for determining any limitations on the use of your User Content within the Virtual Data Room (VDR).

  • Unauthorized Access: If you gain unauthorized access to materials used by others outside your working group, you have no right to use such materials. Prolinks is not liable if members of your working group, others you allow access to your User Content, or any third party modify, destroy, corrupt, copy, or distribute your User Content.

  • Ownership: Prolinks does not own any User Content and will not monitor, edit, or disclose any information regarding you or your Personal Account, including User Content, without your prior permission, except as outlined in these Terms of Use.

  • Data Usage & Analysis: Unless you opt out, Prolinks may analyze anonymized and vectorized data to develop, improve, and personalize its products and services (e.g., full-text search, premier customer support). This analysis uses unidentifiable data, which will remain within Prolinks' secure perimeter and will only be used for the purposes outlined in this clause.

User Feedback

  • Voluntary Feedback: We value your feedback and suggestions regarding Prolinks. Any feedback, comments, or suggestions you provide are entirely voluntary.

  • License Grant: By providing feedback, you grant Prolinks a worldwide, non-exclusive, irrevocable, royalty-free, perpetual, sublicensable, and transferable license to use, modify, adapt, reproduce, distribute, publish, and display the feedback for any purpose without any obligation to you.

  • Visibility: You acknowledge that any feedback you provide may be visible to other users of the services. Do not include confidential or proprietary information in your feedback.

  • No Guarantee: Your feedback helps us improve our services, but we do not guarantee that any specific feature or modification you suggest will be implemented. Prolinks is not obligated to implement, use, or respond to your feedback.

  • Right to Disregard: We reserve the right to disregard or reject any feedback for any reason.

Intellectual Property Rights

  • Software Provision: Prolinks may provide you with software programs, including updates, enhancements, modifications, and documentation ("Software") for using the Prolinks platform.

  • License Grant: Prolinks grants you a non-exclusive, non-transferable, limited license to install and use the Software on a single device, mobile device, or other applicable hardware.

  • Usage Restrictions: You shall not copy, distribute, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software, nor remove, alter, or obscure any proprietary notices, labels, or marks from the Software, except as expressly permitted by these Terms of Use.

  • Ownership: Prolinks retains all rights, title, and interest in and to the Software, including all intellectual property rights. These Terms of Use do not grant you any ownership rights in the Software.

  • Termination of Usage: Prolinks may terminate your usage immediately upon notice if you fail to comply with any term or condition of these Terms of Use. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

  • Third-Party Intellectual Property: Prolinks disclaims any rights to trademarks, service marks, trade names, logos, copyrights, patents, domain names, or other intellectual property interests of third parties. All third-party intellectual property interests referenced herein are the properties of their respective owners.

  • Automatic Updates: Software may automatically download and install updates from Prolinks. These updates are designed to improve, enhance, and further develop the Prolinks platform. You agree to receive such updates as part of your use of the Prolinks platform.

External Links and Third-Party Content

  • Third Party Materials: Prolinks may provide links to other websites and third-party products and services that are not under Prolinks' control ("Third Party Materials").

  • Disclaimer: Prolinks is not responsible for the content of such Third Party Materials. These links are provided solely for user convenience, and their inclusion does not imply endorsement by Prolinks.

  • No Rights Granted: These Terms of Use do not grant you any rights or licenses to use Third Party Materials.

Liability Protection

You agree to compensate and hold harmless Prolinks, its affiliates, officers, directors, agents, and employees from any liabilities, including reasonable legal fees as determined by a court, arising from any third-party claims, demands, actions, or proceedings related to the User Content you provide or your breach of these Terms of Use.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of Indonesia, including but not limited to Law No. 27 of 2022 on Personal Data Protection (PDP Law). You agree to the exclusive jurisdiction of the courts of Indonesia for any claim or cause of action arising out of, relating to, or in connection with these Terms of Use or the Prolinks platform, provided that such exclusivity does not apply to legal actions initiated or brought by Prolinks.

Terms Amendments

Prolinks can update these Terms of Use at any time by posting the changes on their platform. By continuing to use Prolinks after the amendments, you accept the new Terms. Prolinks may notify you of major changes via email, but it's not required to do so. Please check these Terms regularly.

For ease of use, these Terms may be available in multiple languages. In case of any differences, the English version will take priority.
